These terms and conditions ("Terms") govern your use of Honeydew Health Ltd.'s Software as a Service (“SaaS”) products and services ("Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use our Services.
1. Use of Services
1.1 License: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use our Services for your internal business purposes.
1.2 Restrictions: You shall not: (a) license, sublicense, sell, resell, transfer, assign, distribute or otherwise commercially exploit or make available to any third party our Services; (b) modify, adapt or hack our Services; (c) reverse engineer or attempt to extract the source code of our Services; (d) interfere with or disrupt the integrity or performance of our Services; (e) use our Services for any unlawful purpose; (f) transmit any viruses or other malicious code; (g) use our Services to store or transmit infringing, libellous, or otherwise unlawful or tortious material; or (h) use our Services in a manner that violates applicable laws or regulations.
Terms of Use
By signing up to use Resolve, the client accepts and agrees to these Terms: Honeydew Health Ltd aims to respond to all referrals with an offer of an appointment within 2 working days.
1. For pre-placement health screening questionnaires, these will normally be reviewed and a report generated within 2 to 5 working days from receipt of a completed questionnaire by the employee.
2. Payment for pre-placement services will be taken in advance using credit card information supplied by the Client. The client purchases one or more credits, which can be expended for the delivery of the report for a new starter pre-placement health screening questionnaire.
3. One pre-placement health screening costs one (1) credit.
4. For management referrals, appointments will normally take place within 5-7 working days of the referral date unless specific restrictions apply (e.g. travel distance or specialist appointments)
5. Reports are dispatched 5-7 working days after the appointment date in accordance to the instructions on the consent form. Employees have the legal right to request to see the report prior to it being released to the employer and this may delay report delivery.
6. Honeydew Health Ltd. will invoice clients as soon as the assessment has been conducted and may require that payment be made prior to releasing the management report.
7. Clients may opt to pre-pay a fixed sum toward their service usage or request monthly billing.
8. Non-attendance and late cancellations within 2 working days of the appointment will incur the full referral fee.
2. Subscription, Purchases and Payment
2.1 Purchases of Credits: You agree to pay all fees relating to the amount of Credits you have chosen for use on the Resolve platform.
2.2 Payment: Fees for the Subscription Plan are billed in advance and are non-refundable. Payment must be made using the payment method specified. For purchases of Credits for Resolve you must pay using a valid credit card.
3. Data Privacy
3.1 Data Protection: We will process personal data in accordance with our Privacy Policy, available at Honeydew Privacy and Cookie Policy.
3.2 Confidentiality: Each party agrees to maintain the confidentiality of the other party’s Confidential Information and to not disclose it to third parties without prior written consent.
4. Intellectual Property
4.1 Ownership: By using this web site, you acknowledge that Honeydew Health Ltd. owns all intellectual property rights in our Services and any derivative works thereof.
4.2 Feedback: You grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, and display any feedback or suggestions provided by you relating to our Services.
5. Limitation of Liability
5.1 Disclaimer: Our Services are provided "as is" and "as available" without warranties of any kind.
5.2 Limitation: In no event shall we be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits or revenues.
6. General
6.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of England and Wales and any dispute shall be subject to the jurisdiction of the Courts of England.
6.2 Amendment: We may amend these Terms from time to time. We will notify you of any material changes to these Terms.
6.3 Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable.
